staXscale Terms of Service (v1.4)

By creating an account or using staXscale services or website, you agree to these Terms of Service (“Terms”). If you disagree, please don’t use our services. Simple as that.

1. What we do

staXscale, LLC (“staXscale,” “we,” “our,” or “us”) provides managed cloud hosting built on Google Cloud infrastructure. We maintain the hosting environment – security, uptime, monitoring, and backups – while you manage your own site, software, and plugins.

We do not guarantee or manage the performance of software you install yourself. You’re responsible for ensuring any third-party tools, themes, or plugins are compatible and licensed properly.

This includes, without limitation, any artificial intelligence (AI) tools, large language models (LLMs), automated scraping agents, or machine learning integrations you connect to or deploy within your environment. You accept sole responsibility for all computational requests, database queries, and configuration overhead generated by these tools.

2. Account setup

You’re responsible for keeping your account information accurate and secure. Don’t share your password or use our platform for anyone else without permission. If you believe your account is compromised, contact [email protected] immediately.

Provisioning of Dedicated Services: Due to the bespoke nature of our White Glove configuration, Dedicated environments are subject to a standard provisioning window of up to forty-eight (48) hours from the time of payment confirmation. Expedited setup is not guaranteed unless explicitly agreed to in writing.

3. Billing & payment

staXscale services are prepaid. We bill monthly or annually (with a large discount for annual prepayment). All major credit cards, Stripe, and PayPal are accepted; Venmo is available through Stripe integration. Although we currently allow unlimited number of sites in a plan, refer to your plan’s resource limit for specific caps on what can be used (like storage/RAM) in your managed cloud hosting account.

Refunds & The “No Drama” Guarantee: We believe in earning your trust, not locking it in. For new accounts, we offer a 30-Day “No Drama” Guarantee. If you feel staXscale isn’t the calmest, most reliable hosting partner you’ve experienced, you may cancel within your first thirty (30) days for a full refund of your hosting fees. No retention hoops, no hard feelings. Refunds may take up to 30 days to process. Note: This guarantee applies only to hosting fees. Third-party licenses, domain registrations, or one-time service fees (such as custom engineering) are non-refundable.

Taxes: All listed fees are exclusive of federal, state, or local taxes. You are responsible for paying any applicable taxes, levies, or duties imposed by taxing authorities.

Annual plans: Annual plans are prepaid and non-refundable. If you cancel early, your account will stay active through the paid term, but no prorated refunds apply. Discounts are based on completing the full term.

Late payments: A 15-day grace period applies to overdue invoices. After 15 days, accounts may be suspended. After 30 days, services may be terminated and a $15 late fee may apply.

Resource Scalability: To prioritize service continuity and uptime, staXscale does not suspend accounts that exceed storage limits. We will automatically notify you when usage reaches 85% of your allocation so you may evaluate your needs. Should you exceed your plan’s storage limits, we will automatically provision additional storage at a rate of $5.00 USD per 1 GB per billing cycle to ensure your infrastructure remains online. No action is required to activate this safety net; however, you may avoid overage fees by reducing disk usage or upgrading to a higher tier plan before the billing cycle closes.

Promotional Codes: Promotional codes and introductory offers are intended to welcome new clients to staXscale. Unless explicitly noted otherwise, these discounts apply only to first-time accounts and cannot be used for existing subscriptions, renewals, or add-on services. We reserve the right to adjust billing to the standard rate if a code is applied outside of its intended scope.

4. Cancellations

You can cancel anytime through your dashboard or by emailing support. Your service remains active through the end of your current billing period. We don’t issue partial refunds for unused time.

Data Retention & Deletion Upon cancellation, your site and data will remain accessible until the end of your paid billing cycle and we will move your data to an inactive state for a period of thirty (30) days (“Grace Period”). You may reactivate your service during this time. After the 30-day Grace Period, all site files, databases, and configurations will be permanently deleted from our servers. staXscale is not responsible for data loss resulting from your failure to migrate or back up your content.

5. Acceptable use

Use of staXscale is governed by our Acceptable Use Policy (AUP), which is part of these Terms. In short: no spam, no illegal activity, no exploitation, no hacking, no pirated or “nulled” software, and no adult content, especially involving minors (which will be immediately reported to law enforcement).

We reserve the right to immediately suspend or terminate accounts at our discretion for any violation of the AUP, our SLA, or Google Cloud’s policies.

6. Resource usage

To ensure the security, stability, and optimal performance of our managed cloud hosting infrastructure, staXscale enforces limits on active server resources, including but not limited to RAM (Memory), CPU, and concurrent connections. These limits are in place to protect all tenants on a shared server from neighbor-induced latency or downtime. staXscale reserves the right to automatically throttle, temporarily suspend, or require a tier upgrade for any account that continuously exceeds its allocated active resources or threatens the operational integrity of the server.

We believe in fair, flexible hosting: We will not lock you into a higher shared tier permanently for a temporary traffic anomaly. If your resource usage normalizes, you may downgrade to your previous shared tier at the start of your next billing cycle. However, please note that downgrading from a custom Dedicated environment back to a shared environment is a highly complex, manual process; such migrations are subject to technical review, require coordination with our team, and may incur a one-time engineering fee. Furthermore, please note that the $5.00/GB automatic overage safety net applies strictly to NVMe Storage (Disk Space) and does not increase your allocated RAM or active processing capacity.

Automated and AI Resource Consumption: You are entirely responsible for all bandwidth, processing power, and server resources consumed by automated tools, including AI APIs, web crawlers, and algorithmic processing scripts operating on your site. Any sudden or sustained resource spikes caused by these tools that threaten server stability may result in immediate automated throttling or temporary suspension under this Section. You remain fully liable for any automated overage fees or required tier upgrades resulting from such usage, regardless of whether the traffic was intentional or authorized by you.

SLA exclusion: Any performance degradation, site unavailability, throttling, or temporary suspension resulting from your account exceeding its allocated active server resources (such as RAM or CPU) is not considered a server outage. It is explicitly excluded from our 99.5% uptime goals and Service Level Agreement (SLA).

7. Service uptime & maintenance

We rely on Google Cloud’s world-class infrastructure, which offers 99.5% uptime. While we don’t control their systems, we monitor and maintain our services to match that reliability. Routine maintenance may occur; we’ll provide at least 24 hours’ notice when possible. Uptime indicates availability of services, and excludes any time an individual exceeds resource availability. 

Network Maps and Datacenter Locations: Any visual representations of our global network, including maps of edge nodes, are provided for illustrative purposes only. Actual server locations, node availability, and traffic routing are dynamic, managed by our upstream infrastructure partners, and are subject to change without prior notice. We do not guarantee data routing through any specific geographic node unless explicitly stated in a custom agreement.

8. Service Level Agreement

staXscale’s Service Level Agreement (SLA) describes our response and uptime goals. The SLA is incorporated by reference and may differ for specific plans. You can view it anytime at staxscale.com/sla.

8. Customer responsibilities

  • Keep your billing and contact info current.
  • Use only supported plugins, themes, and configurations.
  • Maintain backups of your content (we maintain server-level backups, but redundancy is smart).
  • Comply with all applicable laws and our policies.

9. Termination

Either party may terminate at any time. staXscale may suspend or end your account immediately for non-payment, abuse, or violation of these Terms. Upon termination, we may delete your data and are not obligated to store or return it.

10. Limitation of liability

To the maximum extent permitted by law, staXscale’s total liability for any claim will not exceed the amount you paid us in the twelve (12) months before the claim. We’re not liable for indirect or consequential damages – including lost profits, data loss, or downtime. We explicitly disclaim all liability for any content, automated responses, or inaccurate information generated, published, or transmitted by any artificial intelligence tools, automated systems, or software plugins deployed on your hosted environment. You use staXscale at your own risk.

11. Indemnification

If your use of staXscale causes harm, breaks the law, or triggers a third-party claim, you agree to cover any costs or damages we incur as a result (including reasonable legal fees).

12. Modifications to terms

We may update these Terms at any time. Substantial changes will be announced by email or dashboard notice. Continued use after an update means you accept the new Terms.

13. Arbitration & governing law

These Terms are governed by the laws of the State of Texas. All disputes will be resolved through binding arbitration in Bell County, Texas. You waive the right to participate in class actions or similar proceedings. Each party bears its own costs unless otherwise required by law.

14. Affiliates & resellers

Reselling staXscale services under your own brand is not currently permitted without written approval. Affiliates are independent and not employees, agents, or representatives of staXscale. Future affiliate or reseller programs will have their own terms.

15. Privacy policy

Our Privacy Policy explains how we collect, use, and protect data. It also covers data privacy, security, and compliance with GDPR and similar laws. Use of our services means you accept that policy as part of these Terms.

16. Miscellaneous

Your audience: staXscale’s infrastructure allows sites to be visited universally unless the customer blocks certain regions. We can’t control how your site appears through browser translation tools or accessibility plugins, and we’re not responsible for any mix-ups or misinterpretations that result. You’re responsible for making sure your content and settings fit the audience you intend to reach.

Affiliate Disclosure: Transparency is a core value of our operations. Some content on our website or within our dashboard may contain affiliate links to third-party tools or services. If you click on these links and make a purchase, we may earn a small commission. We only recommend tools that meet our standards for reliability and security; however, your use of any third-party tool remains subject to that provider’s own terms and policies.

These Terms represent our entire agreement with you. If any part is unenforceable, the rest still applies. Failure to enforce any right doesn’t waive it later. Nothing here creates an employment, partnership, or joint venture relationship.

Third-Party Trademarks: All third-party product names, logos, brands, and trademarks (including but not limited to Google, WordPress, and Cloudflare) referenced on the staXscale website, documentation, or services are the property of their respective owners. Reference to these trademarks is solely for nominative purposes to identify compatibility, integration, or underlying infrastructure components. Use of these names does not imply any affiliation, partnership, endorsement, or sponsorship between staXscale and the respective trademark owners. staXscale remains wholly independent.
